AIOS Tech Inc. (Nasdaq: AIOS) has agreed to acquire SmartCore Holdings Limited in an all-stock transaction valued at approximately US$100 million. The acquisition involves issuing 33,333,334 Class A common shares at US$3.00 per share. SmartCore provides cross-border network connectivity and data center services across Hong Kong, Macao, Singapore, and Thailand. The transaction is expected to close by November 30, 2026, and aims to expand AIOS's geographic reach and complement its existing IT infrastructure and AI service offerings.
